Terms of Service

Agreement and authority

By creating an account, connecting a service, uploading content, or saving changes to a profile, you agree to these terms. You may use TownSpark only if you are at least 18 years old and authorized to act for the chamber, business, or organization whose account or profile you access. You are responsible for accurate information, protecting sign-in links and sessions, and promptly reporting suspected unauthorized access.

Connected accounts and content

You may connect a Facebook Page, newsletter source, or other account only when you have authority to grant TownSpark the requested access. You retain ownership of content you provide or connect. You grant TownSpark permission to process that content only as needed to provide, secure, improve, and promote the service and create the pages or reports you request.

User-uploaded media

When you upload a photo, logo, video, or other media, you represent and warrant that you own it or have all rights, licenses, consents, and permissions needed for TownSpark to use it. This includes any permissions required from photographers, copyright owners, trademark owners, and identifiable people shown in the media.

You grant TownSpark a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, crop, adapt for display, publish, and distribute that media as needed to operate, display, and promote your TownSpark profile and the TownSpark service. This license ends when the media is removed from the service, except for reasonable backup, legal, and archival retention.

You are responsible for the media you submit. TownSpark may reject or remove media that may infringe another person’s rights, violate these terms, create legal or safety concerns, or be unsuitable for the service.

Copyright complaints and repeat infringement

TownSpark responds to copyright notices and counter-notifications under the process described in our Copyright & DMCA Policy. We may remove or disable access to reported material, notify the submitting user, and suspend or terminate repeat infringers in appropriate circumstances. You agree not to interfere with standard technical measures used by copyright owners to identify or protect copyrighted works.

Acceptable use

You may not use TownSpark unlawfully; attempt to access another chamber’s data; interfere with the service; introduce malicious code; scrape or reverse engineer protected parts of the service; or use reports to misrepresent, harass, discriminate against, or harm another person or organization.

Third-party information and services

Profiles may include information, links, reviews, maps, or photos supplied by businesses or third-party services such as Google. Third-party content belongs to its respective owner and may change or become unavailable. You are responsible for checking important details directly with the business or source. Your use of a third-party service remains subject to that service’s terms. By using Google Maps features on TownSpark, you agree to the Google Maps/Google Earth Additional Terms of Service.

Automated matches

TownSpark uses automated methods to identify possible business mentions. Matches may be incomplete or incorrect and should be reviewed before being relied upon or shared. TownSpark does not guarantee that every mention will be found.

Paid features

If you purchase a paid feature, you authorize TownSpark and its payment processor to charge the disclosed price and applicable taxes using your selected payment method. Recurring subscriptions continue until canceled. Unless a different cancellation method is shown at purchase, you may request cancellation by emailing info@hallpassdigital.com. Cancellation stops future renewals and does not retroactively refund charges except when required by law or expressly stated at purchase.

Service changes and availability

TownSpark may add, change, suspend, or discontinue features. Beta features may contain errors or change without notice. We aim to keep the service available but do not promise uninterrupted or error-free operation.

Disclaimers, responsibility, and indemnity

TownSpark is provided on an “as is” and “as available” basis to the extent permitted by law, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TownSpark is not responsible for third-party platforms, including changes to Google, Meta, or email-provider APIs.

To the extent permitted by law, TownSpark and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Their total liability arising from the service will not exceed the greater of $100 or the amount you paid TownSpark during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them.

To the extent permitted by law, you agree to defend, indemnify, and hold TownSpark and its operator harmless from claims, losses, liabilities, and reasonable costs arising from content you submit, your violation of another person’s rights, or your violation of these terms.

Termination and deletion

You may stop using TownSpark and disconnect connected accounts at any time. TownSpark may suspend access for security, legal, or misuse concerns. Data deletion requests are handled according to the data-deletion instructions and Privacy Policy.

Changes to these terms

We may update these terms as the service changes. When a material update requires renewed agreement, TownSpark may ask you to accept the new version before you save additional changes, upload content, or continue using affected features.

Governing law

These terms are governed by Oklahoma law, without regard to conflict-of-law rules. Any dispute that is not subject to another binding agreement must be brought in a state or federal court with jurisdiction in Carter County, Oklahoma, and each party consents to that court’s jurisdiction and venue.

General terms

If part of these terms is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights under these terms without our consent; Hall Pass Digital LLC may transfer these terms as part of a merger, financing, reorganization, or sale of the service. These terms, the Privacy Policy, and any signed order or service agreement form the complete agreement about your use of TownSpark, with a signed agreement controlling if it expressly conflicts with these online terms.
